ISSUE OF SHORTFALL SHARES

The Directors of A-Cap Resources Limited ("A-Cap" or the "Company") (ASX: ACB) advise that the Company has allotted a total of 94,789,115 ordinary fully paid shares, being the shortfall under the Company's recently completed Non-renounceable Rights Issue which closed on 20 April 2015.
Ansheng Investment Co. Ltd subscribed for a total of 57,289,115 ordinary shares of the shortfall pursuant to an Underwriting Agreement dated 4 March 2015, the balance of shares were allotted to overseas professional investors unrelated to the Company.
Holding statements will be despatched today, 28 May 2015.

A-Cap Energy Limited is an Australia-based resources company focused on the development of critical minerals. The Companyâs flagship Letlhakane Uranium Project in Botswana hosts undeveloped uranium resources. The Wilconi Project is the Companyâs first nickel-cobalt laterite project interest. The Letlhakane Uranium Project lies adjacent to Botswanaâs main North-South infrastructure corridor that includes a sealed all-weather highway (the A1 Highway), a railway line and the national power grid.
