Sistema announces results of its AGM

Moscow, Russia - July 2, 2012 - Sistema JSFC ("Sistema") (LSE: SSA), the largest diversified publicly-traded investment company in Russia and the CIS, today announces the results of its Annual General Meeting of shareholders ("AGM"), held on June 30, 2012.

The AGM approved payment of annual dividends of RUB 0.28 per ordinary share for the twelve months ended December 31, 2011, amounting to a total of RUB 2.7 billion (approximately US$ 82.3 million ). The dividend will be paid by August 29, 2012.

The AGM also approved the following members to the Board of Directors:

CJSC BDO was appointed as Sistema's Russian Accounting Standards auditor for 2012, and Deloitte & Touche CIS was appointed as Sistema's US GAAP auditor for 2012.

At the statutory Board meeting following the AGM, the Board of Directors appointed Vladimir Evtushenkov as Chairman.
