Sistema's Board of Directors recommends interim dividend in line with dividend policy

Moscow, 16 October 2017 - The Board of Directors of Sistema PJSFC ('Sistema') (LSE: SSA, MOEX: AFKS), a Russian public diversified holding company, on 14 October 2017 passed a resolution to convene an extraordinary general meeting of shareholders (EGM) with absentee voting to approve payment of interim dividends for the first nine months of 2017, as provided by Sistema's dividend policy.

The Board of Directors recommended that the EGM approve paying dividends of RUB 0.68 per ordinary share (RUB 13.6 per GDR) for the first nine months of 2017. The recommended total amount of dividends is RUB 6,562 million.

The recommended dividend amount is equivalent to a dividend yield of 6% p.a. as calculated based on the weighted average price of Sistema's ordinary shares on Moscow Exchange during the first nine months of 2017. In accordance with the dividend policy approved in April 2017, the amount of the final dividend for the year should be determined to ensure that the total amount of final and interim dividends paid for 2017 equals the greater of: dividend per share of RUB 1.19 or a dividend yield of 6% based on the weighted average price of Sistema's shares in 2017.

The dividend record date as per the Board of Directors' proposal to the EGM is 8 December 2017.

The date of the EGM (cut-off date for submitting ballot papers) is 28 November 2017. The record date for shareholders eligible to participate in the EGM is 3 November 2017.
