AGL Energy Limited (AGL) today announced its intention to appoint Diane Smith-Gander as a Non-Executive Director, and that Bruce Phillips will be retiring from the Board following AGL's Annual General Meeting (AGM) on 28 September 2016.

Ms Smith-Gander will stand for election at the AGM and, subject to approval by AGL's shareholders, her appointment will take effect immediately thereafter.

Ms Smith-Gander is currently Chairman of infrastructure services company Broadspectrum Limited, a role from which she will retire following its takeover by Ferrovial. She is a Non- Executive Director of diversified conglomerate Wesfarmers Limited. She is also President of Chief Executive Women and Chair of Safe Work Australia.

Her prior board experience includes roles as a Commissioner of Tourism Western Australia, Non-Executive Director of Australia's largest cooperative, CBH Group, and Deputy Chairman of NBN Co Limited.

Prior to becoming a full-time company director in 2009, Ms Smith-Gander enjoyed a successful executive career with Westpac Banking Corporation, primarily in banking operations, technology solutions and change management roles, and as a consultant withMcKinsey & Co.

Ms Smith-Gander has a Master of Business Administration from the University of Sydney and a Bachelor of Economics and Honorary Doctorate of Economics from the University of Western Australia.

AGL Chairman, Jerry Maycock, said: 'We are delighted to announce our intention to appoint Diane as a Non-Executive Director of AGL. She will bring extensive and diverse expertise from her board and executive career in technology, operations, large-scale commodities and major transformation projects.

Given the proximity of the AGM, the Board has decided to put Diane's appointment directly to shareholders for approval. The Board has unanimously recommended that shareholders approve her appointment.
