            Robert and Thomas are brothers. They have no formal, informal, written, or oral agreement or understanding concerning their respective investments in Amara. Robert is the beneficial owner of and controls the voting rights to 4,612,382 shares of Amara. Thomas is the beneficial owner of and controls the voting right to 5,000,000 shares of Amara. Messrs. Gipson dispute the presumption that they are acting in concert with the Offeror, the Offeree, each other, any other individual, or groups of individuals.
