PROFIT WARNING

This announcement is made by Amber Energy Limited (the ''Company'', which together with its subsidiaries are collectively referred to as the ''Group'') pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the
''Listing Rules'') and the Inside Information Provisions under Part XIVA of the Securities and
Futures Ordinance.
The board of directors of the Company (the ''Board'') wishes to inform the shareholders and potential investors of the Company that based on the preliminary review of the unaudited consolidated management accounts of the Group for the six months ended 30 June 2014 (which have not been reviewed by the Company's auditors), the Company is expected to record a significant decrease in profit, or may even record a loss, for the six months ended 30 June
2014 when compared to the corresponding period in 2013. The said decrease (or loss, as the case may be) was primarily attributable to the fact that the project expenditures for one of the generators in the Anji Project are no longer eligible for capitalisation under prevailing accounting treatments.
The Group had posted profits in its unaudited consolidated management accounts for the five months ended 31 May 2014. However, as one of the generators in the Anji Project subsequently attained ''ready for use'' status, the relevant project expenditures were required to be expensed (rather than capitalised) and being recognised in the income statement in accordance with the accounting policies in force, which offset the profits recorded for the reporting period. Upon preliminary estimation, the Company is expected to record a significant decrease in profit for the six months ended 30 June 2014 compared to the corresponding period in 2013, or the Company may even record its first-ever loss-making results since its listing.
The Group is currently in the process of applying for the electricity generation permit from the relevant government authority for the ''ready for use'' generator, and is pending notification relating to the applicable tariff of power generation for that generator from the relevant government department.

The Company is finalizing the unaudited half-year results of the Group for the six months ended 30 June 2014. The information contained in this announcement is only based on the preliminary assessment by the Board of the unaudited management accounts of the Group, which has not been reviewed by the independent auditors or the audit committee, of the Company. Shareholders and potential investors of the Company are advised to review the half-year results of the Group for the six months ended 30 June 2014, which is scheduled to be published in August 2014.
