American Financial Group, Inc. (NYSE: AFG) announced today that it has given notice of its intention to redeem all of the $350,000,000 outstanding aggregate principal amount of its 9-7/8% Senior Notes due June 15, 2019. The Senior Notes will be redeemed on December 11, 2017 (the “Redemption Date”), at a price equal to 100% of principal plus a make whole premium, plus accrued and unpaid interest to the Redemption Date, in accordance with the terms of the Senior Notes. This press release is not an offer to sell or a solicitation of an offer to buy any securities.

The redemption of the 9-7/8% Senior Notes is financed, in part, by the $367 million of net proceeds from the offering of $125 million of 3.50% Senior Notes due August 2026 and $240 million of 4.50% Senior Notes due June 2047, announced on November 9, 2017. It is expected that the early redemption of the 9-7/8% Senior Notes will result in after-tax non-core expenses of approximately $27 million ($0.30 per share) related to a make whole premium and other related expenses, during the fourth quarter of 2017. It is expected that the redemption of the 9-7/8% Senior Notes and the issuance of the 3.50% and 4.50% Senior Notes will result in annual after-tax interest savings to AFG of $13 million ($0.14 per share) in 2018.
