Announcement regarding the sale of shares in the Indonesia's joint venture business

As announced in the "Announcement of commencing negotiation process for the sale of Indonesia's joint venture business" on October 2, today Asahi Group Holding, Ltd. ("Asahi" or "the Company") has executed a share transfer agreement regarding the sale of the entire stake in PT Asahi Indofood Beverage Makmur ("AIBM"), and PT Indofood Asahi Sukses Beverage ("IASB") that Asahi owns and holds via our 100% subsidiary Asahi Group Holding Southeast Asia Ptd. Ltd., ("AGHSEA"), to Indofood CBP Sukses Makmur TBK ("ICBP") and PT Prima Intipangan Sejati（"PIPS"）, a subsidiary of PT Indofood Sukses Makmur Tbk, the parent company of ICBP.

The overview of the share transfer agreement signed between Asahi/AGHSEA and ICBP/PIPS is as follows.

Shares of the 4 companies which are AIBM's subsidiaries including PT Prima Cahaya Indobeverages, and PT Tirta Sukses Perkasa, and IASB's subsidiaries including PT Tirta Makmur Perkasa, and PT Buana Distrindo, will also be transferred indirectly
