During the last two years the Company has evolved from a resources company to primarily a technology company taking advantage of the emergence of the clean energy and carbon credit markets and greater efficiency and quality improvements in the production of finished products from traditional commodity minerals.

The Astra Resources Plc name is now outdated and does not represent the activities of the company. On the basis of members' authority given to the directors in Sept 2013, the company is now in the process of a name change to Incept Holdings Plc (the same UK Company Number 7620218).* The company name Incept Holdings Limited has been held to allow the name change to take place. This process will require a change of ISIN in CREST and CDS and likely need to issue new share certificates during the process of dematerialisation of shares from paper to electronic.

For information purposes:

  1. The members also allowed the directors in September 2012 to change the jurisdiction of the parent company if required to facilitate a listing.
  2. The members endorsed the directors in September 2013 for corporate structure changes including a reverse takeover and share consolidation (on value basis) if required to facilitate a listing.

The board intends to have members meeting prior to the listing to re-affirm the above.

Incept means to 'begin, commence, undertake', and represents the ideals the company wants to focus on which are related to disruptive technologies and markets to change industries and the way they operate.

Preparations for Listing

Advisory Board

The Company has agreed to appoint an advisory Board primarily to monitor and guide the senior management of the company.

The initial terms of reference is to advise on

  • Organisational and corporate structure changes required to list
  • Corporate governance
  • Evaluate and conduct due diligence on the different listing pathways and make a final recommendation. The company now has the opportunity to list in Canada, Germany and this could be complemented with Australian and Asian exchanges.

Appointment of Chairman of Advisory Board & Chief Legal Counsel

In line with the reorientation of the company and the listing on multiple boards the company has decided to appoint a Chief Legal Counsel, Mr Charles Abbott.

Charles Abbott has over 40 years' experience in Australian and international legal practice. He holds a Legal Practicing Certificate and is a member of the Law Institute of Victoria and practices under the name of Eagle House Law.

Charles was a senior partner of law firm Blake Dawson (formerly Blake & Riggall now Ashurst) and has experience in commercial, banking and finance including leveraged leasing and structured finance (Principal client ANZ Bank).

Charles has also been a Fellow of the Australian Institute of Company Directors (FAICD) for over 20 years.

Charles has held chairmanships and directorships of publicly listed property companies and trusts, private equity and corporate services companies and publicly listed international insurance companies. His legal and commercial experience also extended to executive positions and corporate legal work including M&A and capital rising.

Charles was a director of insurance companies including Norwich Union Group for 21 years (Deputy Chairman), Norwich Winterthur Insurance Limited and Norwich Union Life Assurance Limited involving fund management experience.

Charles has also carried out pro bono work involving fund raising and management including; Chairman of Trinity College Foundation (University of Melbourne), a member of the Finance committee of the Murdoch Institute and a Director of the management company of the Hawthorn Football Club Foundation. For services to the sport of Polo Charles was awarded the Australian Sports Medal (Cwth) in 2000.

Charles is currently Managing Director of Eagle House Corporate Pty Ltd, which carries on corporate services, M&A and capital raising business for SMEs' at 454 Collins Street, Melbourne 3000.

Ron Barnacle

Ron Barnacle began his career as a marketing cadet at Repco after completing his matriculation in the public school system. He has tertiary qualifications in marketing, psychology and advertising. Much of Ron's career was in the advertising industry where he rose to the position of managing director of multinational agencies before successfully building his own communication group which was ultimately sold to the Clemenger Group. When Ron retired from the industry at the end of 2010 he was a director on Clemenger's holding company board. In this role his main functions included overseeing several companies in the group, restructuring and M & A.

Since that time Ron has become a director of several small companies in the renewable energy, television production and medical fields. Beyond that he is a director of the Federal Government's arts organisation (Arts Exhibitions Australia) and runs a large cattle property in South Gippsland, Victoria.

Jeremy Bayard

Jeremy has been a long-term participant in the agriculture industry with deep involvement in hands-on business management. Jeremy is also the founding CEO of ACE Farming Company, now the largest dairy farming company on mainland Australia. Jeremy was also the founding CEO of a successful livestock exporting company selling cattle into many global markets as well as extensive exposure to the northern cattle and cereal cropping industries. Jeremy also has a strong background in international trade running a Hong Kong-based trading company for many years.

Jan Sloane

Jan is Chief Financial Officer of Incept. He supervisors the finance functions of the Astra and is responsible for providing operational support to the Company. He assists the CEO on all strategic and tactical matters as they relate to budget management, forecasting needs and securing funding.

Jan brings a wealth of financial and business experience having been involved in the last 26 years as Chief Financial Officer of JGL Investments Pty and controlled entities involved in Manufacturing, Refining, Distribution, Retailing, Owning commercial and industrial property, Property development, Owning and leasing of residential property, Importing and exporting of goods and services, Share-market trading and investing, and Venture Capital activities.

Jan also has extensive audit and accounting experience having worked with KPMG and predecessor firms for over 13 years.

Adrian Quinn

Adrian S. Quinn is the Executive Chairman of Essential and has over 36 years' experience in the Strata and Property industry throughout the world. Adrian founded Essential in 2007 in the United Arab Emirates; from here he was able to work on some of the world's Iconic, most complex buildings and master plans in the world. During this time he worked on the Burj Khalifa the world's tallest building, the 5 of the tallest residential towers in the world and master plans involving over 55000 lots per project.

Adrian was also the founder of Property Essentials which was established in 1990 which specialised in large Prestigious Owner's Corporations. Adrian consulted and managed some of Australia's largest and premium buildings. Some of these consisted of Eureka Tower, Yarra's Edge, New Quay, 95% of all the residential projects in Docklands and The Melbournian. Property Essentials had over 100 buildings under management with a value of approximately $5.5 Billion AUD and was highly regarded for its services.

Adrian brought Essential to Australia in 2011 where he is currently working on the next tallest building in Australia, Australia 108 and many other large and prestigious buildings.

Adrian also is the Executive Chairman of Green Energy Resources Pty Ltd an international company specialising in operating Waste to Energy plants that convert Municipal Solid Waste (MSW) into renewable energy. It's an environmental solution for waste management that minimises landfill from MSW.
