Axel Springer SE is in exclusive discussions with Télévision Française 1
S.A. about the potential sale of its indirect 78.43% stake in aufeminin S.A.
aufeminin-group offers digital products and subscriptions on topics such as
fashion, beauty, lifestyle, cooking and health. aufeminin-group is part of
the Marketing Media segment of Axel Springer SE. The shares of aufeminin
S.A. are listed on Compartment B of Euronext Paris stock exchange.

Whether or not an agreement will be reached by the negotiating parties as
well as the terms of such an agreement will depend on the further progress
of the discussions.

The conclusion of a binding share purchase agreement is as required by
French law dependent on, inter alia, the prior implementation of an
information and consultation procedure of the works councils of aufeminin
S.A. and Télévision Française 1 S.A. Further, completion of a transaction
would require clearance by the competent cartel authorities.
