NOTICE TO THE MARKET
Banco Cruzeiro do Sul S.A. ("Company"), a
publicly-held financial institution, hereby announces the
market that tomorrow, May 18, 2012, its controller will put
on auction the amount of 8,939,882 (eight million, nine
hundred thirty-nine thousand, eight hundred and eighty two)
preferred shares of his property, issued by the Company,
CZRS4, to reestablish the free float of at least 25% as
mandated by the Corporate Governance Level 1 of BM&FBovespa
S.A.
The sale set forth does not involve any change in
administrative structure or the Company's control.
