123 ("Company"), hereby announces to the shareholders of the Company and to the market the results of its solicitation of consents (the "Consent Solicitation") from holders of its 5.25 per cent. Notes due 2015 issued by the Company on October 25, 2010 in the total amount of US$400,000,000 (the "Notes"), in accordance with the terms and conditions set forth in the Consent Solicitation Statement dated 17 April 2014.
The Company announces that, at the meeting held today at 11.00 a.m. (BST) (as the initial meeting held on 9 May 2014 was adjourned due to being inquorate), at the offices of Hogan Lovells International LLP, Atlantic House, Holborn Viaduct, London EC1A 2FG, United Kingdom (the "Meeting"), the extraordinary resolution (the "Resolution") relating to the Company's Consent Solicitation has been passed.
Details of the aggregate principal amount of Notes represented at the Meeting, including the proportion which was in favour of the Resolution, are set out below:
