Bank of China Limited : ANNOUNCEMENT:Resignation of Non-executive Director of the Bank

The board of directors (the "Board") of the Bank recently received a resignation report from Mr. Cai Haoyi, the non-executive director of the Bank. Mr. Cai Haoyi resigned as non-executive director and members of the Strategic Development Committee and Personnel and Remuneration Committee of the Board of the Bank due to the change of job. Such resignation became effective on 19 May 2012.

Mr. Cai Haoyi has confirmed that he has no disagreement with the Board and there are no matters that need to be brought to the attention of the shareholders of the Bank. Mr. Cai Haoyi joined the Bank in 2007. The Board is grateful to Mr. Cai Haoyi for his contribution to the Bank during his tenure.
