RESULTS OF GENERAL MEETING

The Board of Beacon Hill is pleased to announce that at the General Meeting of the Company held earlier today, all of the resolutions set out in the Notice of General Meeting were duly passed.

Set out below are the combined Chairman and Third Party votes in respect of each resolution.

On 15 September 2014, Beacon Hill announced details of a proposed placing of 1,250,000,000 new ordinary shares in the Company ("Ordinary Shares") of 0.10p each ("Placing Shares"), to raise approximately £1.25 million (the "Placing"). The Placing Shares are being issued in two Tranches; the "First Tranche Placing Shares" and the "Second Tranche Placing Shares". The passing of the resolutions at today's General Meeting enables the Company to issue and allot to the placees the Second Tranche Placing Shares of 876,958,408 Ordinary Shares.

An application has been made to the London Stock Exchange for the Second Tranche Placing Shares to be admitted to trading on AIM and it is expected that admission will take place at 8.00 a.m. on 7 October 2014. Following admission on AIM of the First Tranche Placing Shares, the total number of shares in issue in the Company will be 3,736,943,957 Ordinary Shares of 0.01p each, all of which are voting shares.
