A letter from the Board is set out on pages 6 to 11 of this circular.

The Company has obtained written Shareholders' approval for the Second Guarantee Agreement and the transactions contemplated thereunder pursuant to Rule 14.44 of the Listing Rules from the Relevant Shareholders who form a closely allied group of Shareholders and together hold more than 50% of the voting rights to attend and vote at a general meeting to approve the Second Guarantee Agreement and the transactions contemplated thereunder. Accordingly, no Shareholders' meeting will be held to approve the Second Guarantee Agreement and the transactions contemplated thereunder pursuant to Rule 14.44 of the Listing Rules. This circular is being despatched to the Shareholders for information only.

"Board" the board of Directors

"BEGREC" Beijing Enterprises Real-Estate Group Limited*(北京 北控置業集團有限公司)(formerly known as "Beijing Enterprises Group Real-Estate Co., Ltd*( 北京北控置業 有限責任公司)"), a company established in the PRC with limited liability and is a wholly owned subsidiary of BE Group

"BE Group" Beijing Enterprises Group Company Limited*( 北京北控 集團有限公司), a company established in the PRC with limited liability
