Ref: Your email dt. December 16, 2014 seeking clarification on press release titled 'Airtel todivest telecoms tower assets in Zambia and Rwanda to IHS' dt. December 15, 2014.

In response to your aforesaid e-mail, we would like to state:
The agreements for sale of over 1100 telecom towers in Rwanda and Zambia by Airtel Networks Zambia Plc and Airtel Rwanda Limited were executed close to midnight on December 12, 2014. In view of impending weekend both the parties decided to make a public announcement of the deal on Monday, December 15, 2014.
The completion for Rwanda and Zambia is expected no later than in six months and nine months from the said date respectively.
The consideration amount of the transaction may undergo certain adjustments, though not materially and therefore to avoid share price speculation, we believe that disclosure of consideration, must be avoided.
