RESIGNATION OF EXECUTIVE DIRECTOR

The board (the "Board") of directors (the "Directors") of Billion Industrial Holdings Limited (the "Company") announces that each of Mr. Wu Zhongqin ("Mr. Wu") and Mr. Liu Jingui ("Mr. Liu") has tendered his resignation as executive Directors with effect from 1 June 2018 in order to devote more time on their respective other professional endeavors. Upon their resignation as executive Directors, Mr. Wu and Mr. Liu also ceased to be members of the Corporate Governance Committee of the Board with effect from 1 June 2018.

Each of Mr. Wu and Mr. Liu has confirmed that he has no disagreement with the Board and that there are no matters relating to their respective resignation that need to be brought to the attention of the shareholders of the Company.

The Board would like to take this opportunity to express its sincere gratitude to Mr. Wu and Mr. Liu for their valuable contribution to the Company during their tenure.
