References are made to the joint announcement made by Bank of China and the Company on 21 May 2015 and the announcements made by the Company on 6 June 2016 and 30 June 2016 with respect to the restructuring of the Group in the ASEAN region (the "Announcements"). Unless otherwise specified, capitalised terms used herein shall have the same meanings as those respectively defined in the Announcements.

The Board is pleased to announce that all of the conditions precedent set out in the Thailand Share Purchase Agreement have been satisfied and completion of the Proposed Thailand Share Acquisition will take place on 9 January 2017 in accordance with the terms and conditions of the Thailand Share Purchase Agreement (the "Completion"). Upon Completion, BOC Thailand will become an indirect wholly-owned subsidiary of the Company, and the assets, liabilities and financial results of BOC Thailand will be consolidated into the financial accounts of the Company.
