PARTICIPAÇÕES S.A., companhia aberta com endereço na
Avenida Borges de Medeiros n° 633, 1º andar, na Cidade e
Estado do Rio de Janeiro, inscrita no CNPJ sob o n°
06.977.745/0001-91 ("Companhia"), vem, em
cumprimento ao art. 12 da Instrução CVM n.º 358/02,
comunicar que, no dia 10 de abril de 2012, recebeu da
Wellington Management Company, LLP ("Wellington
Management"), com sede em Congress Street 280, Boston,
Massachusetts, nos Estados Unidos, a informação de
que:
(i) no dia 10 de abril de 2012, as
participações societárias detidas pelo Wellington
Management alcançaram, de forma agregada, 24.325.743 (vinte
quatro milhões, trezentos e vinte e cinco mil setecentos e
quarenta e três) ações ordinárias de emissão da Companhia,
representativas de 5,37% do capital social da
Companhia;
(ii) o objetivo das participações societárias acima
mencionadas é estritamente de investimento, não objetivando
alteração do controle acionário ou da estrutura
administrativa da Companhia;
(iii) não foram celebrados, pelo Wellington
Management, quaisquer contratos ou acordos que regulem o
exercício de direito de voto ou a compra e venda de valores
mobiliários emitidos pela Companhia.

"Dear Mr. Leandro Bousquet Viana,
Wellington Management Company, LLP ("Wellington
Management"), a limited liability partnership validly
existing under the laws of the Commonwealth of
Massachusetts, USA, headquartered at 280 Congress Street,
Boston, Massachusetts, 02210, USA, hereby informs BR Malls
Participacoes S.A. (the "Company"), for the
purposes of compliance with Section 12 of CVM Ruling
385/02, as amended by CVM Ruling 449/07.
Wellington Management is registered as an investment
adviser with the United States Securities and Exchange
Commission under section 203 of the Investment Advisors Act
of 1940, as amended and acts as discretionary investment
manger on behalf of various separate accounts (the
"Accounts"), that hold an interest in shares of
the Company. The Accounts do not act as a group nor do they
act in concert with respect to the interest in shares.
Wellington Management acquired the interests in shares for
the Accounts in its capacity as discretionary investment
manager to, and solely for the benefit of, the Accounts,
and the interests were acquired solely for investment
purposes. The shares are registered in the name of the
Accounts according to their respective holdings.
Wellington Management, as the discretionary
investment manger of the Accounts, hereby informs, that as
of 10 April 2012 the Accounts hold, in the aggregate, a
total of 24,325,743 common shares, which represents 5.37%
of the common shares outstanding.
