NOTICE TO THE MARKET
Brasil Insurance Participações e Administração S.A. ("Company"), a publicly held company with common shares traded on the Novo Mercado of the Bovespa under the ticker BRIN3,in accordance with the terms of CVM Rule 358/2002 and amendments thereof, hereby informs its shareholders and the market that it received a correspondence from MFS Investment Management ("Manager") informing the Company that, as of March 05, 2013 ("Reference Date"), the Manager held in custody 4,852,720 (four million, eight hundred fifty two thousand and seven hundred twenty) common shares of the Company, equivalent to approximately 5.00% of the Company´s common shares issued at this time.
MFS, which is registered with the U.S Securities and Exchange Commission as an investment adviser, and acts on behalf of several clients, included pooled vehicles and mutual funds with non-affiliated investors, (a) states that this interest in the Company's shares (i) does not aim at, or result in, any modification in the Company's controlling composition or managerial structure, (ii) is for investment purposes, and (iii) may be increased or decreased by MFS in accordance with its investments objectives; (b) does not hold, either directly or through related parties, any other warranties, subscriptions rights or purchase options related to the Company's shares or share-convertible debentures, nor any other title entitling rights to the Company's shares; (c) states that neither it nor any of the underlying beneficial owners for whom MFS acquired the shares, individually holds the Company's outstanding shares, or rights thereon which involves a percentage equal to or in excess of 5%; and (d) has not entered into any agreement governing the exercise of voting rights or the purchase and sale of the Company's securities.
