RE-DESIGNATION OF DIRECTOR
The Board is pleased to announce that Mr. Zen Wei Peu, Derek,
previously the Chairman and an Executive Director of the
Company, has been re-designated as the Chairman, an Executive
Director, Chief Executive Officer and Managing Director of
the Company with effect from 22 March 2012.
The board of directors (the "Board") of Build King Holdings
Limited (the "Company") is pleased to announce that Mr. Zen
Wei Peu, Derek, previously the Chairman and an Executive
Director of the Company, has been re-designated as the
Chairman, an Executive Director, Chief Executive Officer and
Managing Director of the Company with effect from 22 March
2012.
Personal details of Mr. Zen are set out as follows:
Mr. Zen Wei Peu, Derek, age 59, has been the Chairman of the
Company since
23 April 2004 and has been appointed as a member of the
Remuneration Committee of the Company since 1 April 2005 and
a member of the Nomination Committee of the Company since 27
February 2012. He is also the Vice Chairman of Wai Kee
Holdings Limited ("Wai Kee", a substantial shareholder of the
Company, the shares of which are listed on the Main Board of
The Stock Exchange of Hong Kong Limited) and an Executive
Director of Road King Infrastructure Limited ("Road King", an
associated corporation of Wai Kee, the shares of which are
listed on the Main Board of The Stock Exchange of Hong Kong
Limited). He is also the Chairman of Chai-Na-Ta Corp., an
associated corporation of Wai Kee. Mr. Zen holds a Bachelor
of Science degree in Engineering from The University of Hong
Kong and a Master Degree in Business Administration from The
Chinese University of Hong Kong. He is a member of the
Institution of Civil Engineers and The Hong Kong Institution
of Engineers and a fellow member of the Institution of
Quarrying, the United Kingdom. He is also the Honorary
Treasurer of Hong Kong Construction Association from 2011 to
2013. He has over 35 years of experience in civil
engineering.

Save as disclosed above, Mr. Zen did not hold any
directorship in other listed companies in the last three
years. Save for his directorship with Wai Kee and Road King,
as well as his directorship in the Group, Mr. Zen does not
have any relationship with any other Directors, senior
management or substantial shareholders or controlling
shareholders of the Company.
As at the date hereof, Mr. Zen holds 122,675,228 ordinary
shares of the Company,
185,557,078 ordinary shares of Wai Kee, 2,000,000 non-voting
deferred shares of Wai Kee (Zens) Construction &
Transportation Company Limited and 30,000 non-voting deferred
shares of Wai Luen Stone Products Limited. Save as disclosed
above, Mr. Zen does not have, and is not deemed to have,
other interests and short positions in the shares, underlying
shares or debentures of the Company and its associated
corporations (within the meaning of Part XV of the SFO).
Mr. Zen has entered into a service agreement with the Company
for three years commencing from 1 May 2010 and is subject to
retirement by rotation and re-election pursuant to the
Bye-laws of the Company. He is entitled to receive an annual
remuneration package of HK$2.35 million plus bonus subject to
the performance of the Company and the individual. His
emolument will be reviewed and determined by the Remuneration
Committee of the Company with reference to his duties and
responsibilities with the Company, the Company's performance
and the prevailing market condition.
Mr. Zen has not been involved in any of the matters as
mentioned under Rules
13.51(2)(h) to 13.51(2)(v) of the Listing Rules and there are
no other matters in relation to Mr. Zen that need to be
brought to the attention of the shareholders of the
Company.
