INFORMATION FOR THE MEDIA C.A.T. oil AG: Minor shareholder withdraws challenging claim

• No legal objections against the resolutions passed in the Annual General Meeting in
June 2015

C.A.T. oil AG informs that the German minor shareholder Carsten Grau had withdrawn his challenging claim against resolutions of the Annual General Meeting held on June 29, 2015 before the Vienna Commercial Court. Mr. Grau has apparently no longer any doubts concerning the denial of discharge from liability of the former members of the Management and Supervisory Board of the company for the 2014 fiscal year and that those resolutions of the Annual General Meeting have been resolved validly. The underlying reasons for those denials, amongst others, were the ongoing investigation of the previous management as well as the potentially incriminating procurement organization to the detriment of the company.
The voluntary withdrawal of the lawsuit by Mr. Grau took place a few days after the Vienna Commercial Court as the court of first instance rejected his first contestation of resolutions of the Extraordinary General Meeting of February 2015. The court did not make out any procedural errors and pointed out the missing conclusiveness of the arguments of Mr. Grau.
