Agreement in principle signed to acquire JDS Solutions Corporation

Cegid has signed an agreement in principle to acquire the US company JDS Solutions Corporation (www.jdssc.com), a provider and distributor of IT solutions for specialized retailers.

The transaction is expected to be finalized in May, subject to a certain number of conditions precedent.

JDS Solutions is a US software provider and integrator serving specialized retailers

Founded in 2000 and based in San Diego, CA, JDS Solutions is a long-standing provider of software to specialized retailers.

JDS Solutions has an installed base of nearly 100 customers spread over the entire United States & Canada and was acclaimed by the 2014 US-based "RIS Software Leaderboard" survey putting the company among the top three retail industry solution providers in several categories.

JDS Solutions' customers include prestigious international brands such as A'Gaci, Buffalo Bills, Cincinnati Reds, Sporting KC, Mammoth Ski Resort, Snowbird Ski Resort, National Gallery of Art, Rag & Bone, Red Bull Arena, San Francisco 49ers, Shoe Palace, Omni Hotels & Resorts, Akira and Pendleton Woolen Mills.

JDS Solutions employs around 30 people and its business activities generated revenue in the region of $5.5 million in 2014.

Dan Friedman, founder, principal shareholder and CEO of JDS Solutions, will join Cegid, together with the company's managers and employees, enabling Cegid to continue to benefit from JDS's extensive retail know-how and pursue the growth and development of the combined business.

This transaction will enable Cegid to:

• strengthen its leadership position in the Retail sector;
• increase its presence in North America. Cegid has been in the United States for more than 10 years and its US customers include numerous prestigious international brands. Its New York office, located on Madison Avenue, has a team of industry specialists, a support center and a sales and marketing team;
• strengthen the group's industry-specific expertise in Retail by welcoming a new team of specialists in this field;
• bolster its localization teams' expertise in new US regulations in particular payment processing (EMV, P2PE, E2EE, .).

By joining Cegid, JDS ensures the long-term future of its business and enables its customers to:

• acquire Retail software solutions available in On Demand and SaaS modes, thanks to Cegid's expertise in this technology;
• benefit from Cegid's international experience when they expand outside the United States;
• take advantage of Cegid's latest innovations in omnichannel marketing, mobility, clienteling and business intelligence.

Upon closing, the JDS and Cegid teams will form together to implement it from an operational point of view. The combined business will employ more than 40 US based people focused on their Retail customers.
