In accordance with article 228 of the Consolidated Text of the Spanish Securities Markets Law, CELLNEX TELECOM, S.A. ("Cellnex" or "the Company") hereby notifies the Spanish National Securities Market Commission of the following

RELEVANT FACT

The Company gives notice that its Board of Directors, at a meeting at its registered office, has today agreed unanimously and with immediate effect:

To accept the resignation of Mr. Lluís Deulofeu Fuguet as Director, acknowledging his valuable contribution and thanking him for his service to the Company.

To appoint by co-optation and following the recommendation of the Nominations and Remuneration Committee, Mr. Carlos del Río Carcaño as proprietary Director, to fill the vacancy resulting from the previous resignation.

To accept the resignation of Mr. Francisco Reynés Massanet as Chairman and Director, acknowledging his valuable contribution and thanking him for his service to the Company.

To appoint by co-optation and following the recommendation of the Nominations and Remuneration Committee, Mr. David Díaz Almazán as proprietary Director, to fill the vacancy resulting from the previous resignation.

To appoint, following the recommendation of the Nominations and Remuneration Committee, Mr. Tobías Martínez Gimeno as Chairman of the Board of Directors. Mr. Martínez will also hold the position of Chief Executive Officer of the Company.

To appoint the independent Director Mr. Giampaolo Zambeletti as Coordinating Director.
