Cementir Holding: the new Board of Directors appoints the Chairman and CEO, the Vice Chairman, the General Manager and internal Board Committees

Rome, 23 April 2018 - The Board of Directors, at today's meeting, appointed Francesco Caltagirone Jr. as Chairman and Chief Executive Officer, Carlo Carlevaris as Vice Chairman and Paolo Zugaro as General Manager.

The Board positively assessed the existence of the independence requirements laid down by the applicable regulations and the Corporate Governance Code for Listed Companies under the auspices of the Directors Paolo Di Benedetto, Veronica De Romanis, Chiara Mancini, Roberta Neri and Adriana Lamberto Floristan.

The Director Paolo Di Benedetto was nominated Lead Independent Director, pursuant to the relevant provisions of the Corporate Governance Code.

The Board also renewed the internal Board Committees, as follows:

• - Control and Risk Committee: Paolo Di Benedetto (Chairman), Veronica De Romanis, Chiara Mancini, Adriana Lamberto Floristan and Mario Delfini;

• - Appointment and Remuneration Committee: Paolo Di Benedetto (Chairman), Veronica De Romanis, Chiara Mancini and Mario Delfini.

The Board of Directors then established the Related Parties Committee comprising Paolo Di Benedetto (Chairman), Chiara Mancini and Adriana Lamberto Floristan.

Lastly, the Board of Directors reappointed Massimo Sala, the Company's Chief Financial Officer, to serve as the manager responsible for preparing the Company's financial reports in 2018 and approved the renewal of the Supervisory Board pursuant to Legislative Decree 231/2001 for the 2018-2020 period appointing Mario Venezia (Chairman), Franco Doria and Francesco Paolucci.
