Cementir Holding completes the sale of all assets and activities in Italy

Rome, 2 January 2018 - Today Cementir Holding S.p.A. has finalized the sale of 100% of the share capital of Cementir Italia S.p.A., including its entirely owned participations in Cementir Sacci S.p.A. and Betontir S.p.A. to Italcementi S.p.A., a fully controlled subsidiary of HeidelbergCement AG.

The deal, announced on 19 September 2017, was subject to the approval of the Italian Antitrust Authority.

The transaction has an enterprise value of EUR 315 million on a cash and debt-free basis and the consideration was totally received in cash today.

As of the day hereof Mr.Mario Ciliberto resigned from the Board of Directors of Cementir Holding S.p.A.
