Cetip Mercados Organizados : Notice to the Market - Request for Clarification from CVM/BM&FBOVESPA – Withdrawal Right

Rio de Janeiro, September 2nd, 2016 - Cetip S.A. Mercados Organizados ("Cetip" or "Company") (BM&FBOVESPA: CTIP3), in response to the Notice nº 2975/2016 - SAE/GAE-1 received on August 29th, 2016, attached in its entirety below ("Notice"), informs its shareholders and the market in general that the Company will not exercise its rights pursuant with article 137 of Law nº 6404/76, and that its bylaws reform is ratified, including the amendments to the Company's corporate purpose, as approved at the Extraordinary General Shareholder Meeting held on July 27th, 2016. The Company also notifies its shareholders that the period to exercise withdrawal right ended on August 29th, 2016, as informed on the "Notice to Shareholders - Right of Withdrawal" published on July 27th, 2016. Withdrawal rights of 50 shares have been exercised at R$6.52698710495 per share, based on the Company's equity book value on December 31st, 2015. Refund payment to Cetip's dissenting shareholders will take place on September 20th, 2016.

Dear Sir,

Considering that the deadline for shareholders to express their dissent with respect to the amendment to the Company's corporate purpose ended on August 28th, 2016, we request you to inform, by September 5th, if this Company shall reconsider or ratify the aforementioned amendment, pursuant to article 137 of Law nº 6404/76.

We also request you to inform the payment date of the refund value, if applicable.

The Company's answer to this request should be submitted exclusively through the IPE module, by selecting the Category: Notice to the Market and Type: Reply to Request for Clarification from CVM/BM&FBOVESPA, resulting in simultaneous transmission of the file to BM&FBOVESPA and CVM.

To ensure a better understanding from the market, the content of the above query must be transcribed before the Company's response in the file submitted.

This request falls within the scope of the cooperation agreement signed by CVM and BM&FBOVESPA on 12/13/2011 and not replying to it makes the company subject to comminatory action fine by CVM's Superintendência de Relações com Empresas - SEP, in connection with CVM Instruction No. 452/07.
