Reference is made to the news release (the "News Release") published by The Stock Exchange of Hong Kong Limited (the "Stock Exchange") on 9 July 2014 in relation to, amongst other things, the criticism of Changfeng Axle (China) Company Limited (the "Company") for its breach of the then Rule 13.09(1) (in force in 2011 and 2012) of the Rules Governing the Listing of Securities on the Stock Exchange (the "Listing Rules").
As stated in the News Release, the Listing Committee of the Stock Exchange (the "Listing Committee") directed, among other things, that the executive directors, Mr. Wong Kwai Mo ("Mr. Wong"), Ms. Wu Ching ("Ms. Wu") and Mr. Lai Fengcai ("Mr. Lai"), to attend 24 hours of training on Exchange Listing Rule compliance, director's duties and corporate governance matters including 4 hours on current Rule
13.09 compliance and inside information disclosure (under the Securities and Futures Ordinance) both effective on 1 January 2013 to be provided by the Hong Kong Institute of Chartered Secretaries, Hong Kong Institute of Directors or other course providers approved by the Listing Department of the Stock Exchange (the "Training"), and to be completed within 150 days from the publication of the News Release.
In accordance with the above direction, Mr. Wong, Ms. Wu and Mr. Lai completed the Training on
6 September 2014 and copies of the course provider's written certifications of compliance with the
Training were furnished to the Listing Department on 11 September 2014.
