POSITIVE PROFIT ALERT

This announcement is made by China Gas Holdings Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board of directors (the "Board") of the Company wishes to inform the shareholders of the Company and potential investors that, based on the preliminary review of the consolidated management accounts of the Group for the year ended 31 March 2018, the consolidated net profit attributable to the owners of the Company for the year ended 31 March 2018 (after deducting the share-based payment expenses) is expected to increase by more than 45% when compared with that for the year ended 31 March 2017. Such expected increase was mainly attributable to the outstanding financial and operation performance recorded by the Group in its natural gas sales, users connection and value-added business.

This positive profit alert announcement is only based on the Company's preliminary review of the consolidated financial statements of the Group, which are subject to finalization.

The Company is in the process of finalizing the audited annual results of the Group for the year ended 31 March 2018, which are expected to be published on 22 June 2018.
