INDICATIVE ANNOUNCEMENT REGARDING CHANGES IN SHAREHOLDERS' SHAREHOLDING OF THE COMPANY


This announcement is made by China Merchants Bank Co., Ltd. (the 'Company') pursuant to Rule 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited ('Hong Kong Stock Exchange').


IMPORTANT NOTICE:


  • The changes relate to increases in shareholding and do not involve any general offer


  • The changes have not caused any changes to the ranking of the largest shareholder of the Company


  1. GENERAL INFORMATION ABOUT THE CHANGES IN SHAREHOLDING


    The Company was notified on 8 October 2015 by China Merchants Group Ltd. ('China Merchants Group') that China Merchants Group, through its subsidiaries, has indirectly increased its shareholding in the Company by an aggregate of 1,477,141,785 shares, of which 1,428,519,285 shares were A shares and 48,622,500 shares were H shares, during the period from 11 July 2015 to 8 October 2015.


    As of 8 October 2015, China Merchants Group, through its subsidiaries, indirectly holds 6,759,050,844 shares of the Company, representing 26.80% of the Company's total share capital, of which 6,554,249,421 shares were A shares, representing 25.99% of the Company's total share capital, and 204,801,423 shares were H shares, representing 0.81% of the Company's total share capital.

  2. GENERAL INFORMATION ABOUT THE INFORMATION DISCLOSURE OBLIGORS AND THE DE FACTO CONTROLLER


    China Merchants Group is the enterprise with which the State-owned Assets Supervision and Administration Commission ('SASAC') of the State Council represents the state in performing its duties as investor, and one of the state-owned backbone enterprises directly managed by the SASAC of the State Council. The predecessor of China Merchants Group was China Merchants Stream Navigation Company, incorporated in 1872. Currently, China Merchants Group is mainly involved in its three core businesses, namely traffic (harbour, highway, energy transport and logistics, ship maintenance and ocean engineering), financial (bank, securities, funds and insurance) and real estates (industrial zone development and real estate development).


    The information disclosure obligors of the change in shareholders' shareholding are China Merchants Steam Navigation Company Limited, China Merchants Finance Investment Holdings Co., Ltd., Shenzhen Yan Qing Investment and Development Company Ltd., Shenzhen Chu Yuan Investment and Development Company Ltd. and Best Winner Investment Limited, all of which are controlled by China Merchants Group.   3. FOLLOw-UP EVENTS


As of 8 October 2015, the abovementioned changes in shareholding have not caused any changes to the ranking of the largest shareholder of the Company.


According to applicable rules and regulations, the Company has discharged the information disclosure obligation and shall procure that the information disclosure obligors comply with the information disclosure obligations on a timely basis according to the requirement of relevant laws and regulations.
