The resignation takes effect immediately upon the Board's receipt of this resignation.

Pursuant to the Notice on Further Easing of Discrepancies in Electricity Tariffs Relating to Environmental Protection (Fa Gai Jia Ge [2014] No. 1908) (the "Notice") issued by the National Development and Reform Commission on 20 August 2013, it was decided that appropriate adjustments will be made to the relevant electricity tariffs effective from 1 September 2014 to further ease discrepancies in electricity tariffs relating to environmental protection, including denitrification and dedusting.
The major impacts of the above Notice on China Shenhua Energy Company
Limited (the "Company") are as follows:

(I) Reduction in benchmark on-grid tariffs of coal-fired power generation companies in provinces (autonomous regions and municipalities) in relation to desulphurization

As at the end of June 2014, desulfurization equipment has been installed for all the coal-fired generators of the Company and the equipment has been put into operation. The regions in which the coal-fired generators of the Company are located and the adjustments are shown in the table below:

(III) Continuous adoption of electricity tariffs for denitrification and dedusting

For coal-fired power generation companies with denitrification and dedusting emissions reaching required standards and accepted by the environmental protection departments, power grid companies are required to pay denitrification and dedusting electricity tariffs of RMB0.0100/kWh and RMB0.0020/kwh respectively from the date of acceptance pursuant to the standards set out in the Notice on Adjustment to Electricity Tariffs of Power Generation Companies (Fa Gai Jia Ge [2013] No. 1942) issued by the National Development and Reform Commission on 30 September 2013. As at the end of June 2014, the proportion of the Company's coal-fired generators with denitrification equipment installed and in operation reached 92.9%. All of the Company's coal-fired generators are equipped with dedusting devices, and the tariffs for dedusting of some generators are subject to confirmation by the environmental protection departments.

(IV) Impact

According to preliminary estimates, the current adjustments to electricity tariffs will result in a reduction of RMB610 million (unaudited) in the total profit of the Company in 2014.
The on-grid electricity tariff in this announcement refers to the tariff specified in the electricity sale and purchase contract entered into between the power generation company and the grid company, which corresponds to the electricity volume.
