FORM OF PROXY FOR THE ANNUAL GENERAL MEETING

(OR ANY ADJOURNMENT THEREOF)

,ordinary shares of HK$1.00 each in the share capital of Chow Tai Fook Jewellery Group Limited (''Company''), HEREBY APPOINT (3) the chairman of the meeting, or

of as my/our proxy at the annual general meeting (and at any adjournment thereof) of the Company (''Meeting'') to be held on Thursday, 26 July 2018 at 12:00 noon at Meeting Room S421, Hong Kong Convention and Exhibition Centre, 1 Expo Drive, Wanchai, Hong Kong for the purpose of considering, and if thought fit, passing, with or without amendments, the resolutions set out in the notice convening the Meeting and at such Meeting to vote on the following resolutions on my behalf as indicated below; or if no such indication is given, and in respect of any other business that may be properly proposed before the Meeting, as my/our proxy thinks fit.

  • 1. To receive and adopt the audited financial statements together with the report of the directors of the

  • Company (''Directors'') and the independent auditor's report for the year ended 31 March 2018.

  • 2. To declare a final dividend and special dividend for the year ended 31 March 2018.

    To re-elect Mr. Cheng Chi-Heng, Conroy as an executive Director. To re-elect Mr. Cheng Ping-Hei, Hamilton as an executive Director. To re-elect Mr. Chan Sai-Cheong as an executive Director.

    To re-elect Mr. Cheng Ming-Fun, Paul as an independent non-executive Director. To re-elect Dr. Or Ching-Fai, Raymond as an independent non-executive Director. To authorise the board of Directors (''Board'') to fix the Directors' remuneration.

  • 4. To appoint PricewaterhouseCoopers as auditor of the Company and authorise the Board to fix its remuneration.

  • 5. To grant the Directors a general mandate to issue new shares of the Company not exceeding 20% of the aggregate nominal amount of the issued share capital of the Company as at the date of this resolution.

  • 6. To grant the Directors a general mandate to repurchase shares of the Company not exceeding 10% of the aggregate nominal amount of the issued share capital of the Company as at the date of this resolution.

  • 7. Subject to the passing of the ordinary resolutions numbered 5 and 6 above, to extend the general mandate granted to the Directors to issue shares of the Company by adding the aggregate nominal amount of shares repurchased by the Company.

  • 1. Full name(s) and address of yourself and your appointed proxy must be inserted in BLOCK CAPITALS.

  • 2. Please insert the number of shares registered in your name(s) to which the proxy represents. If no number is inserted, this form will be deemed to relate to all the shares of the Company registered in your name(s).

  • 3. If any proxy other than the chairman is preferred, please strike out ''the chairman of the meeting, or'' and insert the name and address of the proxy.

  • 4. IMPORTANT: IF YOU WISH TO VOTE FOR A RESOLUTION, TICK THE RELEVANT BOX MARKED ''FOR''. IF YOU WISH TO VOTE AGAINST A RESOLUTION, TICK THE RELEVANT BOX MARKED ''AGAINST''. Failure to tick either box will entitle your proxy to cast your vote or abstain at his/her discretion. Your proxy will also be entitled to vote or abstain at his/her discretion on any resolution properly put to the Meeting other than those referred to in the notice convening the Meeting.

  • 5. Any eligible shareholder is entitled to appoint one or more proxies to attend and vote in his/her/its stead at the Meeting (or at any adjournment of it) provided that each proxy is appointed to represent the number of shares held by the member as specified in the respective proxy form. A proxy need not be a shareholder of the Company.

  • 6. This proxy form must be signed by you or your attorney duly authorized in writing; or in case of a corporation, must be either under its common seal or under the hand of an officer, attorney or other person duly authorized. It shall be assumed, unless the contrary appears, that such attorney or officer was duly authorised to sign this proxy form on behalf of the corporation without further evidence of the facts.

  • 7. The completed proxy form shall be delivered to the Company's Hong Kong branch share registrar, Tricor Investor Services Limited, at Level 22, Hopewell Centre, 183 Queen's Road East, Hong Kong, at least forty-eight (48) hours before the time appointed for holding the Meeting at which the person named in the instrument is appointed to vote or any adjourned meeting thereof (as the case may be) and in default the proxy form shall NOT be treated as valid. Delivery of completed proxy form shall not preclude a shareholder of the Company from attending and voting in person at the Meeting (or any adjourned meeting thereof), in such event, the instrument appointing a proxy shall be deemed to be revoked.

  • 8. Where there are joint registered holders of any share of the Company, any one of such joint holders may vote at the Meeting (or at any adjournment of it), either personally or by proxy, in respect of such share as if he/she/it were solely entitled thereto; but if more than one of such joint holders be present at the Meeting personally or by proxy, that one of the said persons so present whose name stands first on the register of members of the Company in respect of such share shall be accepted to the exclusion of the votes of the other joint holders.

  • 9. ANY ALTERATION MADE TO THIS FORM OF PROXY MUST BE INITIALLED BY THE PERSON(S) WHO SIGN(S) IT.

  • 10. PERSONAL INFORMATION COLLECTION STATEMENT: ''Personal Data'' in this statement has the same meaning as ''personal data'' in the Personal Data (Privacy) Ordinance, Cap 486 of the Laws of Hong Kong (PDPO), which will include the name and mailing address of yourself and your appointed proxy. The Personal Data provided in this form may be used in connection with processing your appointment of proxy at the Meeting and your voting instructions. Your supply of the Personal Data is on a voluntary basis. However, we may not be able to process or effect the appointment of your proxy and instructions unless you provide us with the Personal Data. Your Personal Data will not be transferred to other third parties (other than the Hong Kong branch share registrar of the Company) unless it is otherwise required by law and will be retained for such period as may be necessary for our record, verification and notification purposes. By providing your proxy's Personal Data in this form, you should have obtained the consent (which has not been withdrawn in writing) from your proxy in using his/her Personal Data provided in this form and that you have informed your proxy of the purposes for and the manner in which his/her Personal Data may be used. You and your appointed proxy have the right to request access to and/or correction of the respective Personal Data in accordance with the provisions of the PDPO.
