CIG Pannonia Eletbiztosito : Extraordinary announcement on a treasury share transaction by the Company

CIG Pannónia Life Insurance Plc. (registered seat: H-1033 Budapest, Flórián tér 1; company registry number: Cg.01-10-045857; hereinafter: the 'Company'), hereby notifies its Esteemed Shareholders and other capital market participants that the Company today purchased 133,333 pieces (that is one hundred and thirty-three thousand three hundred and thirty-three pieces) of interest-bearing shares of series 'B' issued by the Company with a nominal value of HUF 40 per share, at a price of HUF 750.- per share by share purchase agreement.

The transaction was carried out under the authorisation of the repeated Annual General Meeting held on 24 April 2017.

After the transaction the Company has a total number of 1,437,339 pieces of treasury shares, of which 1,104,006 pieces are dematerialized 'A' type ordinary shares 133,333 pieces are dematerialized 'B' type interest-bearing shares and 200,000 pieces are dematerialized 'C' type interest-bearing shares.

The 133,333 pieces of 'B' type interest bearing shares will be converted into 'A' type ordinary shares as at 11 September 2017. The Company plans to withdraw this repurchased shares in order to decrease the number of outstanding ordinary shares after the conversion of interest bearing shares into ordinary shares. The Extraordinary General Meeting convened for 15 September 2017 will decide on the withdrawal of the shares.
