ANNOUNCEMENT
CHANGE OF THE LARGEST SHAREHOLDER OF THE COMPANY
This announcement is made on a voluntary basis.
Reference is made to the announcement of CITIC Securities Company Limited (the "Company") dated
28 December 2011, the overseas regulatory announcement dated 17 January 2012 and the announcement dated 26 October 2012 in relation to, among other things, the restructuring of the largest shareholder of the Company, namely, CITIC Group Corporation (formerly known as "CITIC Group") and the transfer of 2,236,890,620 A Shares of the Company, representing 20.30% of the total issued share capital of the Company, directly held by CITIC Group Corporation to CITIC Limited (the "Shares Transfer"). CITIC Limited is a wholly-owned subsidiary of CITIC Group Corporation and owned as to 99.90% by CITIC Group Corporation and 0.10% by CITIC Enterprise Management, a direct wholly-owned subsidiary of CITIC Group Corporation.
On 26 February 2013, the Shanghai branch of China Securities Depositary and Clearing Corporation
Limited issued the Confirmation Letter for Share Transfer Registration confirming that the 2,236,890,620
A shares of the Company directly held by CITIC Group Corporation have been transferred to and registered under the name of CITIC Limited on 25 February 2013. Accordingly, the largest shareholder of the Company has formally changed to CITIC Limited, which currently holds 2,236,890,620 A Shares of the Company, representing 20.30% of the total issued share capital of the Company.
