1. 2013 Annual Report and 2013 Online Sustainability Report

The English and Chinese versions of CLP Holdings (the Company) 2013 Annual Report are enclosed herewith for your attention. They have been available on the Corporate Governance section on the Company's website at www.clpgroup.com and on the website of Hong Kong Exchanges and Clearing Limited (HKEx) at www.hkex.com.hk since 13 March 2014. For the first time, we have also prepared an online snapshot of the Annual Report to give our stakeholders an overview of our 2013 performance, both financial and non-financial, on a digital platform. The new online Annual Report snapshot as well as the English and Chinese versions of CLP Group 2013 Online Sustainability Report are also available on the Company's website. The Online Sustainability Report is an interactive e-book. Shareholders are therefore recommended to read it online instead of on printed copies.

2. Annual General Meeting

The sixteenth Annual General Meeting (AGM) of the Company will be held at the Jockey Club

Auditorium, The Hong Kong Polytechnic University, Hung Hom, Kowloon, Hong Kong on Thursday,

8 May 2014 at 11:00 a.m. A Notice of AGM and Proxy Form are attached. They are also available on the Corporate Governance section on the Company's website and on the website of HKEx. The Register of Shareholders will be closed from 7 May 2014 to 8 May 2014, both days inclusive. To be entitled to attend and vote at the AGM, please lodge all transfers with the Company's Registrars, Computershare Hong Kong Investor Services Limited, 17th Floor, Hopewell Centre, 183 Queen's Road East, Wanchai, Hong Kong, for registration not later than 4:30 p.m. on Monday, 5 May 2014.

3. Choice of language and means of receipt of corporate communications

The attached reply form asks whether, in the future, you wish to receive the Company's corporate communications(Note) in printed form or by electronic means through our website and, if in printed form, whether you wish to receive English language version only, Chinese language version only or both language versions. To minimise use of paper and to save printing and mailing costs, the Company recommends you to elect to receive corporate communications electronically on the Company's website. To make your choice, please complete the enclosed reply form and sign and return it to the Company's Registrars, Computershare Hong Kong Investor Services Limited using the provided prepaid mailing label.

If the Company does not receive a duly completed and signed reply form from you or receives no response from you indicating that you object to receiving corporate communications in electronic form on the Company's website on or before 28 April 2014, you are deemed, until you inform the Company otherwise by reasonable notice in writing (not less than 7 days) at the Company's office or that of the Company's Registrars or via e-mail (cosec@clp.com.hk or clp.ecom@computershare.com.hk), to have consented to receive all our future corporate communications in electronic form on the Company's website instead of receiving them in printed form. In that event, when the Company makes a corporate communication, we will send you a notification that the corporate communication has been made available on the Company's website. The notification will be sent to you by e-mail (if you have provided an e-mail address) or (if you have not provided an e-mail address) by post to you at your address as it appears in the Company's Register of Shareholders maintained by the Company's Registrars.

4. CLP's "green" initiative

As a continuing "green" initiative, CLP will donate HK$60 to charity for each Shareholder who elects to receive our corporate communications electronically and for each feedback that we receive on the Annual Report, the Online Sustainability Report as well as the online Annual Report snapshot, up to a maximum donation amount of HK$350,000. Please refer to the inside back cover of the 2013 Annual Report for details of this year's initiative.
