In accordance with article 228 of the consolidated text of the Spanish Stock Market Act approved by the Legislative Royal Decree 4/2015 of 23 October, CODERE, S.A. hereby informs of the following:
We refer to the Lock-Up Agreement dated 23 September 2014 entered into between, amongst others, Codere, S.A., the Consenting Noteholders and the Backstop Parties (as these terms are defined in the Lock-Up Agreement), as amended on 18 August 2015 and as extended on 22 June 2015 and 7 December 2015.
It is hereby confirmed that, in accordance with the terms of the Lock-Up Agreement, Codere, S.A., each Consenting Noteholder and each Backstop Party has consented to the Completion Long Stop Date being extended to 30 April 2016.
Codere, S.A. and the other parties to the Lock-Up Agreement are progressing with the implementation of the restructuring with a view to achieving a completion before 30 April 2016.
