Shareholder rights law firm Johnson & Weaver, LLP has commenced an investigation into whether certain officers and directors of Conn’s, Inc. (NASDAQ: CONN) violated state or federal laws. Specifically, the investigation seeks to determine whether certain statements disseminated on the Company’s behalf by its officers and directors regarding the Company’s business, operations, projections, and outlook were misleading when made. Conn’s is engaged in specialty retail of durable consumer products in the United States.

Conn’s shares fell $12.82, or nearly 36.5%, in early morning trading on December 9, 2014. This decline followed the release of disappointing third-quarter fiscal 2015 results. Additionally, the Company withdrew its earnings guidance for fiscal 2015 and did not provide earnings guidance with respect to fiscal 2016. Specifically, Conn’s reported a third quarter loss of $0.08 per share, compared to earnings of $0.66 per share in the prior year. The Company also stated that customer credit portfolio balance 60+ days delinquent was 10.0% as of October 31, 2014, an increase of 130 basis points from July 31, 2014. Conn’s further announced the abrupt departure of the Company’s Chief Financial Officer.

Johnson and Weaver’s investigation will center on statements issued by Conn’s regarding its business, operations, valuation, prospects and provisions for bad debts. Our investigation seeks to determine if these statements were known to be materially false and misleading at the time they were made.
