NOTICE TO THE MARKET
COSAN S.A. (B3: "CSAN3") ("Cosan" or "Company") hereby informs the market that Raízen Energia S.A. ("Raízen"), the joint venture formed by Cosan and Shell, signed, on the date hereof, jointly with São Martinho S.A. ("São Martinho"), agreements that provide for the acquisition of the biological assets of Usina Açucareira Furlan S.A., related to the mill located in Santa Bárbara D'Oeste, São Paulo, and for the leasing of land owned by Usina Açucareira Furlan S.A. and Agro Pecuária Furlan S.A.
("Transaction").
With the conclusion of the Transaction, Raízen and São Martinho will assume, independently, 2/3 and 1/3, respectively, of the agricultural and supply agreements that in aggregate involve approximately 1 million tons of sugarcane in the region. Moreover, said agreements establish that Raízen and São Martinho must pay approximately R$118 million in the aforementioned proportion.
The conclusion of the Transaction is aligned with the strategy to increase the supply of sugarcane for processing at Raízen's mills and is subject to certain conditions and to approval by Brazil's antitrust agency CADE (Conselho Administrativo de Defesa Econômica).
