Regulatory update, suspension of CSR Shares and update to Acquisition timetable

CSR plc ("CSR ") is pleased to announce that the recommended acquisition of CSR by Qualcomm Global Trading Pte. Ltd., an indirect wholly-owned subsidiary of Qualcomm Incorporated, (the "Acquisition ") has been cleared by the Ministry of Commerce of the People's Republic of China pursuant to the Anti-Monopoly Law of the People's Republic of China.

Approval for the Acquisition has previously been granted by the US Federal Trade Commission, the German Federal Cartel Office, the Korea Fair Trade Commission and the Japan Fair Trade Commission. The Taiwan Fair Trade Commission determined not to exercise its jurisdiction over the Acquisition.

Completion of the Acquisition remains subject to the satisfaction (or, where applicable, waiver) of the other Conditions set out in the Scheme Document, including the Court sanctioning the Scheme at the First Court Hearing and confirming the Reduction of Capital at the Second Court Hearing.

CSR announces that the First Court Hearing is expected to take place on 11 August 2015 and the Second Court Hearing is expected to take place on 13 August 2015. Subject to the Court sanctioning the Scheme and authorising the related Reduction of Capital, CSR can further confirm that the Scheme is expected to become effective on 13 August 2015.

CSR also confirms that an application will be made to the UK Listing Authority and to the London Stock Exchange for:

(i) dealings in CSR Shares to be suspended at 5.00 p.m. (London time) on 12 August 2015; and

(ii) the listing of CSR Shares on the Official List of the UK Listing Authority and the admission to trading of CSR Shares on the London Stock Exchange's main market to be cancelled with effect from 8.00 a.m. (London time) on 17 August 2015.
