RESIGNATION OF SUPERVISOR AND DIRECTORS

RESIGNATION OF SUPERVISOR

The board (the "Board") of directors (the "Directors") of Dalian Port (PDA) Company Limited (the "Company") hereby announces that Mr. Zhang Zuo Gang ("Mr. Zhang") has resigned as supervisor and the chairman of the supervisory committee of the Company (the "Supervisory Committee") with effect from 18 March 2016 due to his other work commitment.

Mr. Zhang has confirmed that he has no disagreement with the Board and the Supervisory Committee, and there is no other matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company (the "Shareholders") and The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

The Board and the Supervisory Committee would like to express their sincere gratitude to Mr. Zhang for his valuable contribution to the Company in the past.

RESIGNATION OF EXECUTIVE DIRECTOR

Mr. Sun Ben Ye ("Mr. Sun") has tendered his resignation as an Executive Director of the Board, with effect from 18 March 2016, due to his other work commitment.

Mr. Sun has confirmed that he has no disagreement with the Board. Both Mr. Sun and the Board are not aware of any matters in relation to his resignation that need to be brought to the attention of the Shareholders and the Stock Exchange.

The Board would like to express its gratitude to Mr. Sun for his services and valuable contributions to the Company during his tenure of office with the Company.

RESIGNATION OF NON-EXECUTIVE DIRECTOR

Mr. Xu Jian ("Mr. Xu") has tendered his resignation as a Non-executive Director of the Board and the chairman of financial management committee of the Company, with effect from 18 March 2016, due to his other work commitment.

Mr. Xu has confirmed that he has no disagreement with the Board. Both Mr. Xu and the Board are not aware of any matters in relation to his resignation that need to be brought to the attention of the Shareholders and the Stock Exchange.

The Board would like to express its gratitude to Mr. Xu for his services and valuable contributions to the Company during his tenure of office with the Company.
