The matters outlined below were reported and resolved at the 19th Ordinary General Meeting of Shareholders of DeNA Co., Ltd. (the "Company") held on June 24, 2017.

1. The contents of the Business Report for the 19th period (April 1, 2016 to March 31, 2017), the Consolidated Financial Statements, and the audit reports of the Accounting Auditor as well as the Company's Board of Corporate Auditors regarding the Consolidated Financial Statements.

2. The contents of the Financial Statements for the 19th period (April 1, 2016 to March 31, 2017) The matters regarding the above contents have been reported.

Proposal 1: Allocation of Surplus

The proposal has been approved and adopted as proposed whereby the Company will pay a year-end dividend of ¥32 per common share.

Proposal 2: Partial Revision of the Articles of Incorporation

The proposal has been approved and adopted as proposed.

Proposal 3: Appointment of Five (5) Directors

The proposal has been approved and adopted as proposed. Tomoko Namba, Isao Moriyasu, Shuhei Kawasaki, Hiroyuki Otsuka and Nobuo Domae were appointed as Directors, and they assumed office.

Hiroyuki Otsuka and Nobuo Domae are Outside Directors.

Proposal 4: Appointment of One (1) Corporate Auditor

The proposal has been approved and adopted as proposed. Shinichi Koizumi was appointed as a Corporate Auditor, and he assumed office.

Shinichi Koizumi is an Outside Corporate Auditor.

Proposal 5: Change of the Amount of Cash Compensation for Outside Directors The proposal has been approved and adopted as proposed.

Following the 19th Ordinary General Meeting of Shareholders, Representative Directors, Directors with special title and the Standing Corporate Auditor were appointed by resolutions of the Board of Directors meeting and the Board of Corporate Auditors meeting held the same day. Members of the Board of Directors and the Board of Corporate Auditors are as follows.

To receive the year-end dividend for the Company's 19th period, submit the enclosed "Receipt of the Year-End Dividend" during the period from June 26, 2017 to July 31, 2017 to the nearest head office or branch offices of Japan Post Bank Co., Ltd., or to a post office (serving as a bank agent) in Japan.

Furthermore, shareholders who have elected to receive dividend payments by direct deposit into a designated account are requested to confirm the contents of the enclosed "Year-End Dividend Calculation Sheet" and "Reference to the Beneficiary Account for Dividend Transfer."

The "Year-End Dividend Calculation Sheet" is enclosed for shareholders who receive the dividend with "Receipt of the Year-End Dividend" as well as for shareholders who have designated transfer accounts. The "Year-End Dividend Calculation Sheet" shall serve to confirm the amount of a shareholder's eligible dividend payment and/or as documentation for income tax return purposes.
