Dentsu : Announces Prospective Members of the Board and Executive Officers

Dentsu Inc. (TOKYO:4324)(ISIN:JP3551520004)(President & CEO: Tadashi Ishii; Head Office: Tokyo; Capital: 74,609.81 million yen) today convened a meeting of its Board of Directors at its Head Office in Tokyo to select its prospective Director, Member of the Board candidates to be nominated at the Company’s General Meeting of Shareholders to be held in March 2016, and to announce the Executive Officer changes, which will become effective on January 1, 2016, as follows.

In line with the Company’s change in governance structure also announced today, namely the transition from a company with an audit and supervisory board to a company with an audit and supervisory committee, the Company decided to have independent outside directors comprise at least one third of the nine members of the board of directors, and to have four of these nine directors (including the three independent outside directors) serve as members of the audit and supervisory committee.

1. Incoming and Outgoing Directors, Members of the Board

The above candidates will be appointed at the General Meeting of Shareholders.
The Representative Director will be appointed at the Board of Directors meeting held after the General Meeting of Shareholders.

• After resigning his position, Yuzuru Kato will serve as Executive Advisor. He will be officially appointed at the Board of Directors meeting held after the General Meeting of Shareholders.

2. Outgoing Audit and Supervisory Board Members
In line with the Company’s transition to a company with an Audit and Supervisory Committee, all the following five Audit and Supervisory Board Members will resign their positions at the General Meeting of Shareholders.

• Kenichi Kato will be nominated as a concurrent Director/Audit and Supervisory Committee Member candidate, and Atsuko Toyama, Toshiaki Hasegawa and Kentaro Koga as concurrent Independent Outside Director/Audit and Supervisory Committee Member candidates at the General Meeting of Shareholders.
• After resigning his position, Kaoru Shimura will serve as Executive Advisor. He will be officially appointed at the Board of Directors meeting held after the General Meeting of Shareholders.

3. Incoming and Outgoing Executive Officers

• Yuzuru Kato will remain as a Director, Member of the Board until his term expires in March 2016.
• When Fumiharu Kobayashi resigns his Executive Officer position, he is expected to serve as an Executive Advisor.
