Deutsche Municipal Income Trust (NYSE: KTF) and Deutsche Strategic Municipal Income Trust (NYSE: KSM) (each, a “Fund,” and together, the “Funds”) each announced today the completion of the issuance of a new series of Floating Rate Municipal Term Preferred Shares (“Series 2018 MTPS”) in a private offering. KTF issued 39,750 shares of Series 2018 MTPS with an aggregate liquidation preference of $198,750,000, and KSM issued 2,800 shares of Series 2018 MTPS with an aggregate liquidation preference of $70,000,000. Each Fund used a portion of the proceeds from the sale of its Series 2018 MTPS to fund the redemption on June 1, 2015 of all of its outstanding Floating Rate Municipal Term Preferred Shares, Series 2015 (“Series 2015 MTPS”). KTF is using the remaining portion of its Series 2018 MTPS offering proceeds to fund the redemption of all of its outstanding Remarketed Preferred Shares (“RPS”), Series B, C and E. The redemption date for the Fund’s Series B and C RPS is June 12, 2015, and the redemption date for its Series E RPS is June 15, 2015. Similarly, KSM is using the remaining portion of its Series 2018 MTPS offering proceeds to fund the redemption of all of its outstanding Auction Rate Preferred Shares (“ARPS”), Series T (the ARPS and RPS, collectively, the “Original Preferred Shares”). The redemption date for the Fund’s ARPS, Series T, is June 8, 2015. The Original Preferred Shares are being redeemed at their respective liquidation preferences per share plus dividends owed to, but excluding, the applicable redemption dates.

As a result of its Series 2018 MTPS issuance and the redemption of its outstanding Series 2015 MTPS and its respective outstanding Original Preferred Shares, each Fund’s leverage attributable to preferred shares remains unchanged.

The Series 2018 MTPS are floating rate preferred shares with a mandatory term redemption date of June 1, 2018, unless extended, and dividends that are set weekly to a fixed spread to the Securities Industry and Financial Markets Association (SIFMA) Municipal Swap Index. The Series 2018 MTPS of each Fund is senior in priority to its outstanding common shares as to payments of dividends and distributions upon liquidation.
