Resignation of the Chairman of the Board of Statutory Auditors of Dmail Group
S.p.A.:
o Resignation of Luca Maria Berta from the office as Chairman of the Board of Statutory
Auditors
o Taking over of Anna Maria Carletti, Deputy Auditor
Milan, 7 May 2012 - Dmail Group S.p.A., a company listed in
the STAR segment of Borsa Italiana S.p.A., communicated that
the Chairman of the Board of Statutory Auditors of the
company, Dott. Luca Maria Berta, irrevocably tendered his
resignation after the appointment of Deloitte & Touche S.p.A.
as the new independent auditors of the Company. The
resignation is due to the fact that the Chairman of the Board
of Statutory Auditors is a shareholder of a company belonging
to the Deloitte & Touche S.p.A.'s network.
Today, the shareholders' meeting of Dmail Group S.p.A.
appointed the company Deloitte & Touche S.p.A. and
accordingly the aforementioned resignation became
effective.
For the purposes of the law and of the company's articles of
association, the deputy auditor Dott.ssa Anna Maria Carletti
took over as Chairman of the Board of Statutory Auditors from
Dott. Berta, who had been elected from minority lists, and
will remain in office until the next Shareholders'
Meeting.
To the Company's best knowledge, Dott.ssa Anna Maria Carletti
does not appear to be currently holding, whether directly
and/or indirectly, any ordinary shares of Dmail Group
S.p.A..
