DOVER SIGNS DEFINITIVE AGREEMENT TO SELL DATAMAX O'NEIL

Downers Grove, IL, December 18, 2014 - Dover (NYSE: DOV) today announced that it has signed a definitive agreement to sell its Datamax O'Neil unit ("D-O"), headquartered in Orlando, Florida, to Honeywell (NYSE: HON) for $185 million.  D-O is a global provider of stationary and portable label and receipt printing solutions. 

Commenting on the transaction, Dover's President and Chief Executive Officer, Robert A. Livingston, said, "The sale of Datamax O'Neil represents the continued execution of our strategy to increase the focus and consistency of our business mix.  While we do not view this business as core to our long-term vision, D-O is a well-run business that is a leader in its markets and offers customers innovative products and a strong focus on service. We are confident the customers and channel partners of D-O will benefit from this transaction's good strategic fit, as it brings together two long-standing industry leaders."

The transaction is subject to customary regulatory approvals, and is expected to close in the first quarter of 2015.
