The board (the "Board") of directors (the "Directors", each a "Director") of Earnest Investments Holdings Limited (the "Company", together with its subsidiaries, the "Group") announces that Mr. ZHANG Yufei ("Mr. ZHANG") has been appointed as a chief executive officer of the Company with effect from 28 July 2016.

Mr. ZHANG Yufei, aged 31, graduated from Shanghai University of Finance and Economics (上海財經大學) with major in insurance studies and obtained a bachelor's degree in economics in July 2007. He has been an associate of the Life Management Institute issued by LOMA Financial Services Education since May 2006. Mr. ZHANG has accumulated over 8 years of experience in the banking industries in the People's Republic of China. He worked at China Merchants Bank (Tianjin branch) from July 2007 to October 2015 and has served various positions including general manager of the wealth management department, assistant to the general manager of the retail banking department, deputy branch manager and product manager.

Mr. ZHANG is a cousin of Mr. SUN Bo, the non-executive Director and a substantial shareholder of the Company. Save as disclosed above, as at the date of this announcement, Mr. ZHANG did not have any other relationships with any Directors, senior management, substantial shareholders or controlling shareholders of the Company and did not hold any directorship and position in the Group or in other listed companies the securities of which are listed on any securities market in Hong Kong or overseas in the past three years. As at the date of this announcement, Mr. ZHANG does not have, and is not deemed to have any interests or short positions in any shares, underlying shares or debentures of the Company or any of its associated corporations which is required to be disclosed under Part XV of the Securities and Futures Ordinance (Chapter 571 of the laws of Hong Kong).

Mr. ZHANG has entered into a service agreement with the Company for a term of one year commencing from 28 July 2016 and shall determine upon expiry subject to renewal by mutual agreement between the Company and Mr. ZHANG prior thereto and in compliance with the Rules (the "Listing Rules") Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited. Mr. ZHANG is entitled to an annual remuneration of HK$1,380,000.00, which was determined by the Company with reference to the duties and level of responsibilities, the remuneration policy of the Company and the working experience, skill, knowledge and involvement in the Company's affairs.

Save as disclosed above, the Company is not aware of any other matters that need to be brought to the attention of the shareholders of the Company. There is no other information regarding Mr. ZHANG which is required to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Listing Rules and there are no other matters relating to his appointment that need to be brought to the attention of the shareholders of the Company.
