EEB successfully closes sale transaction in Brazil

  • Empresa de Energía de Bogotá (EEB), parent company of Grupo Energía de Bogotá, formalized today the acquisition of 51% of four electric power transmission concessions in Brazil, which further strengthens the company's position among the main players in the Americas power sector.
  • The amount of said operation reached BRL$547.98 million (US$ 157.9 million) and it is part of an investment plan amounting to US$1.8 billion approved by the Board of Directors for the next four years.

Bogotá, D.C., 21 August 2015. Empresa de Energía de Bogotá (EEB), parent company of Grupo Energía de Bogotá formalized today the acquisition of a 51% stake in four electric power transmission concessions in Brazil: Transenergia Renovável S.A., Transenergia São Paulo S.A., Goiás Transmissão S.A. and MGE Transmissão S.A.

The operation was implemented this afternoon in São Paulo with the involvement of Mr. Ricardo Roa Barragán, CEO of Grupo Energía de Bogotá, Mr. Joao Marcos Prosdocimo Moro, Director and CEO of JMalucelli Energia and Mr. Alejandro Peláez, Director of Procolombia in said city.

The amount of the operation reached BRL$547.98 million (US$ 157.9 million) and is part of a US$1.8 billion investment plan approved by the Board of Directors forthe next four years. "The assets we have bought in Brazil represent 70% of the transmission lines that we currently operate in Colombia, which will enable us to further strengthen our position as one of the main players in the electric power sector in the Americas, specifically in a country where we have much to learn from", assured GEB's CEO.

Mr. Roa Barragán highlighted that for Grupo EB the closing of this operation represents an important gateway to Brazil, one of the countries in Latin America with the greatest potential in terms of expansion and growth, supplementing strategic investments it already has in the energy sector (electric power and natural gas) in Colombia, Peru and Guatemala.

The four concessions acquired by EEB were awarded by means of a public tender during 2008 and 2009 for 25 years. The length of the lines is 1,094 kilometers and comprise assets with voltage levels of 500, 345, 230 and 138 kV located in the following states: Espíritu Santo, Goias, Mato Grosso, Mato Grosso Do Sul, Minas Gerais and Sao Paulo.

Similarly, this acquisition will enable the Group, through GEBBRAS, the holding representing the stake in these four concessions acquired today and future expansions, to have a strategic partner in Brazil, Furnas, who owns 49% of the stake in these four concessions. Furnas is a mixed economy company, which has and maintains 17 hydroelectric plants, 2 thermal energy plants and 65 substations. Its installed capacity reaches 12,621 MW.

Furthermore, GEB holds an investment portfolio in important companies in the electric power sector, in which the following stand out, CODENSA S.A., EMGESA S.A., GAS NATURAL S.A., PROMIGAS S.A. and Electrificadora del Meta - EMSA and to a lesser extent ISA and ISAGEN. As of 2013, the Group renders advisory and engineering services in Guatemala and Peru through its affiliate EEB Ingeniería y Servicios.
