In an extraordinary board meeting, held today, Enel Generación Chile's Board of Directors unanimously decided to appoint Banchile Asesoría Financiera S.A. as an independent assessor to analyze the proposed corporate reorganization presented publicly by Enel Chile on Friday, August 25.

For its part, the directors committee of Enel Generación Chile, in an extraordinary meeting held on Friday, unanimously decided to appoint Asset Chile as an additional independent evaluator.

On August 28, Enel Generación Chile's Board of Directors, in an extraordinary meeting, began the analysis of the proposed corporate reorganization within the Enel Group through which Enel Chile S.A. seeks to incorporate the assets that Enel Green Power Latin America Limited holds in Chile through a merger by absorption. This also implies that such merger is conditioned to the success of a Public Tender Offer ('OPA'), to be made by Enel Chile, to acquire up to 100% of the shares issued by its subsidiary Enel Generación Chile S.A. owned by minority shareholders of the latter.
