EnPro Industries, Inc. (NYSE: NPO) today announced it priced its previously announced offering of $150 million aggregate principal amount of its 5.875% Senior Notes due 2022 (the “Additional Notes”). The Additional Notes were priced at 101.0% of the principal amount, plus accrued interest from March 15, 2017 to the closing date. The offer was made in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons in offshore transactions in reliance on Regulation S under the Securities Act. The Additional Notes offering is expected to close on March 24, 2017. The Additional Notes will be treated as a single series with EnPro’s outstanding $300 million aggregate principal amount 5.875% Senior Notes due 2022 issued on September 16, 2014.

EnPro intends to use the net proceeds from the offering to repay outstanding borrowings under its senior secured revolving credit facility to increase availability to fund future capital requirements, including potential contributions to a trust to be established pursuant to a joint plan of reorganization filed in asbestos bankruptcy proceedings of certain subsidiaries, if such joint plan is approved and consummated, and for other general corporate purposes.
