Newman Ferrara LLP has begun an investigation into whether the officers and directors of Express Scripts Holding Company (“Express Scripts”)(NASDAQ: ESRX) breached their fiduciary duties to the company.

On March 21, 2016, Anthem Inc., one of the nation’s leading health benefits companies and Express Scripts’ largest customer, filed suit against Express Scripts’ subsidiary in the Southern District of New York. The lawsuit alleges that for more than a year Express Scripts pervasively breached its contract with Anthem by failing to negotiate with Anthem in good faith.

Then, on May 4, 2015, a securities fraud case was brought against Express Scripts, alleging that the Company violated federal securities laws by failing to disclose the precarious status of its relationship with Anthem.

Newman Ferrara’s investigation concerns the extent to which certain officers and directors breached their fiduciary duties to Express Scripts’ shareholders or otherwise violated state or federal laws.
